These Terms of Use (“Terms”) govern your access to and use of the SuperAble website, applications, and services (the “Platform”), operated by [Legal Entity Name], a company incorporated in India (“SuperAble”, “we”, “us”, or “our”). By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.
1. About SuperAble — Nature of the Service
SuperAble is an online marketplace and technology platform that connects parents and guardians (“Parents”) with independent, third-party child-development and therapy professionals (“Therapists”) offering services such as support for Autism, ADHD, speech delay, occupational therapy, behavioural therapy, and related areas.
SuperAble is not a healthcare or medical provider. We do not provide therapy, diagnosis, treatment, or medical advice. We do not employ Therapists. Therapists are independent professionals solely responsible for the services they deliver. SuperAble's role is limited to providing the technology that enables discovery, scheduling, payment, and communication between Parents and Therapists.
No doctor-patient, therapist-client, or fiduciary relationship is formed between you and SuperAble. Any professional relationship exists solely between the Parent (and their child) and the Therapist.
Not for emergencies. The Platform is not intended for medical or mental-health emergencies. If you believe there is an emergency or risk to life, contact your local emergency services immediately.
2. Eligibility and Accounts
You must be at least 18 years old and legally capable of entering into a binding contract. Sessions are booked by Parents/guardians on behalf of a minor child; by booking, you confirm you are the parent or legal guardian of the child, or are authorised to act on their behalf.
Registration requires a valid mobile number and email address, verified via a one-time password (OTP). You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for all activity under your account and for maintaining the confidentiality of your login credentials. Notify us immediately of any unauthorised use.
We may refuse, suspend, or terminate accounts at our discretion, including for breach of these Terms, suspected fraud, or to protect users or the Platform.
3. Therapist Verification, Listing, and Moderation
Therapists must submit accurate professional information, including qualifications, certifications, government-issued identification, experience, specialisations, and (where applicable) clinic/centre details and pricing.
SuperAble operates a moderation and review process. Therapist profiles are reviewed before being made publicly visible and may be marked as pending review, approved, requiring further information, or hidden. We reserve the right, at our sole discretion, to approve, reject, edit, suspend, hide, or remove any Therapist profile or listing at any time, with or without notice.
Verification does not guarantee outcomes. While we take reasonable steps to verify the information Therapists provide, SuperAble does not independently guarantee the qualifications, licensing, competence, conduct, or suitability of any Therapist, nor the quality, safety, or results of any service. Parents are responsible for satisfying themselves as to a Therapist's suitability.
Therapists represent and warrant that they hold all licences, registrations, and qualifications required by law to provide their services, and that the information they provide is truthful and not misleading.
4. Bookings and Sessions
Parents may book sessions in one or more formats offered by a Therapist: online (via integrated video conferencing), at-home visits, or at a Therapist's centre/clinic. Availability, formats, and fees are set by each Therapist.
For online sessions, a meeting link is generated and made available around the time of the session. For centre visits, location details are provided after booking. For home visits, you are responsible for providing a safe, appropriate environment.
A booking is confirmed only after successful payment (or, where the payable amount is zero, after the booking is otherwise confirmed). You will receive a confirmation through the Platform and/or email.
Session times are shown in Indian Standard Time (IST). It is your responsibility to attend on time. Conduct during sessions must be lawful, respectful, and appropriate. Therapists are responsible for the delivery, content, and clinical judgement of each session; SuperAble does not supervise or control sessions.
5. Fees, Payments, and Taxes
Session fees are set by Therapists and displayed before booking. SuperAble may charge a platform/convenience fee and applicable taxes (including GST), which are shown at checkout before payment.
Payments are processed through our third-party payment provider. By paying, you also agree to the payment provider's terms. SuperAble does not store full card details. All amounts are in Indian Rupees (₹) unless stated otherwise.
Commission. SuperAble charges Therapists a commission/service fee on completed bookings. Commission rates, promotional rates (including any introductory or pre-launch period), and adjustments are communicated to Therapists and may change with notice. Referral-based or promotional commission discounts, where offered, apply as described at the time.
SuperAble may modify fees, platform charges, and commission structures prospectively. Continued use after changes constitutes acceptance.
6. Cancellations, Rescheduling, Refunds, Wallet, and Credits
Cancellation. Cancellations made outside the free-cancellation window (as displayed on the Platform) are free. Cancellations within that window may incur a cancellation fee calculated as a percentage of the session fee, as shown at the time.
Rescheduling. Rescheduling outside the free-reschedule window is free; within the window it may incur a fee. The number of times a single booking may be rescheduled may be limited. Applicable windows, fees, and limits are displayed on the Platform and may be updated from time to time.
Refunds and Wallet. Eligible refunds and credited amounts may be issued to your SuperAble Wallet (representing monetary value from refunds/credits) rather than the original payment method, at our discretion and as described on the Platform. Wallet balances may be applied to future bookings.
Credits. SuperAble may issue Credits (e.g., via the referral programme). Credits have an indicative monetary conversion rate set by SuperAble (which is configurable and may change), are non-transferable, have no cash value except as applied on the Platform, are not redeemable for cash, and may expire or be revoked in cases of misuse, fraud, or account termination.
Disputes regarding a specific session's quality or delivery are primarily between the Parent and the Therapist. SuperAble may, at its discretion and without obligation, mediate or adjust amounts.
7. Referral Programme
SuperAble may offer a referral programme allowing Parents and Therapists to invite others using a unique referral code. Rewards (such as Credits for Parents or commission discounts for Therapists) are issued only when the referred user meets the defined conditions (for example, completing a set number of sessions within a defined validity period).
Referrals that do not meet the conditions within the validity period expire and earn no reward. SuperAble determines, in its sole discretion, whether conditions have been met.
We may modify, suspend, or terminate the referral programme, change reward amounts, thresholds, or validity periods, or disqualify participants engaging in fraud, abuse, self-referral, or circumvention, at any time and without liability.
8. Ratings, Reviews, and User Content
Parents may submit ratings and reviews of Therapists. You are solely responsible for content you submit and must ensure it is accurate, lawful, and not defamatory, obscene, or infringing.
By submitting content, you grant SuperAble a worldwide, royalty-free, perpetual, irrevocable, sub-licensable licence to use, host, display, reproduce, and distribute that content in connection with operating and promoting the Platform.
We may, but are not obligated to, moderate, edit, or remove content, and may remove reviews that violate these Terms or appear fraudulent or manipulative.
9. Data Protection and Child Information
Use of the Platform involves processing of personal data, including sensitive personal data relating to children (such as a child's name, date of birth, gender, diagnoses, concerns, and therapy history). Our collection and use of personal data is described in our Privacy Policy, which forms part of these Terms.
By providing a child's information, you confirm you are the parent/legal guardian or are authorised to provide it and to consent to its processing for the purpose of receiving services through the Platform, in accordance with the Digital Personal Data Protection Act, 2023 and applicable law.
Therapists must treat all Parent and child information as confidential, use it solely to provide services, comply with applicable data-protection and professional-confidentiality obligations, and not retain or use it beyond what is necessary.
You must not share session links, recordings, or other users' personal information with unauthorised parties.
10. Acceptable Use
You agree not to:
- use the Platform for any unlawful, harmful, or fraudulent purpose;
- impersonate any person or misrepresent your identity, qualifications, or affiliation;
- circumvent the Platform to arrange or pay for services off-platform in order to avoid fees or commission, where a booking originated through SuperAble;
- post false, misleading, defamatory, or infringing content;
- attempt to gain unauthorised access to the Platform, other accounts, or systems;
- scrape, copy, or harvest data, or use bots without our written permission;
- interfere with the Platform's operation or security; or
- harass, threaten, or harm other users.
We may investigate and take action, including suspension, termination, content removal, and reporting to authorities.
11. Third-Party Services
The Platform integrates third-party services (including payment processing, video conferencing, mapping, email, and messaging providers). Your use of those features may be subject to the third parties' terms. SuperAble is not responsible for third-party services, their availability, or their acts or omissions.
12. Intellectual Property
The Platform, including its software, design, text, graphics, logos, and the “SuperAble” brand, is owned by or licensed to SuperAble and protected by intellectual-property laws.
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for its intended purpose. You may not copy, modify, distribute, reverse-engineer, or create derivative works except as permitted by law.
13. Disclaimers
The Platform and all content are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.
SuperAble makes no warranty regarding the qualifications, conduct, or performance of any Therapist, the outcome or efficacy of any therapy or session, or the suitability of any Therapist for a particular child or condition. Any reliance on Therapists or content is at your own risk.
SuperAble does not provide medical advice, diagnosis, or treatment, and nothing on the Platform should be construed as such.
14. Limitation of Liability
To the maximum extent permitted by law, SuperAble and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or for any injury, harm, or damages arising from or relating to: (a) the services provided by any Therapist; (b) the acts or omissions of any user; (c) your use of or inability to use the Platform; or (d) any third-party service.
To the maximum extent permitted by law, SuperAble's total aggregate liability for any claim arising out of or relating to the Platform or these Terms shall not exceed the greater of (a) the total platform/convenience fees actually received by SuperAble from you in the three (3) months preceding the event giving rise to the claim, or (b) ₹[amount].
Some jurisdictions do not allow certain limitations; in such cases, the above applies to the fullest extent permitted.
15. Indemnification
You agree to indemnify, defend, and hold harmless SuperAble and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms or any law; (c) for Therapists, the services you provide and any claim by a Parent or third party relating to those services; and (d) your content.
16. Suspension and Termination
You may stop using the Platform at any time. We may suspend or terminate your access at our discretion, including for breach of these Terms, suspected fraud, legal requirements, or risk to users.
On termination, outstanding obligations (including fees and commission) survive, as do sections that by their nature should survive.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of India.
Subject to applicable law, the parties shall first attempt to resolve any dispute amicably. Failing that, disputes shall be subject to [arbitration seated in [City], India under the Arbitration and Conciliation Act, 1996 / the exclusive jurisdiction of the courts of [City], India].
18. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date reflects the latest version. Material changes will be notified through the Platform or email. Continued use after changes take effect constitutes acceptance.
19. Miscellaneous
- If any provision is held unenforceable, the remainder remains in effect.
- Our failure to enforce a provision is not a waiver.
- You may not assign these Terms without our consent; we may assign them.
- These Terms, with the Privacy Policy, constitute the entire agreement between you and SuperAble regarding the Platform.
